Reference is made to the stock exchange announcement dated 21 November 2016 where B2Holding announced that B2 KAPITAL d.o.o., the Croatian subsidiary of B2Holding ASA, had signed a Memorandum of Agreement with Hrvatska Postanska Banka as Vendor in a non-performing retail loan transaction. It was stated that the completion of the transaction was subject to consent from the Croatian National Bank. The disclosure of this transaction was made even though the transaction normally would have been below the threshold for announcement and in order to be fully transparent with Vendor's notifi- cations under local Capital Markets Act requirements. The Vendor has due to the same local Capital Markets Act requirements today announced that the Vendor and B2 KAPITAL d.o.o. signed the Portfolio Sale and Purchase agreement on 23 December 2016 based on a positive opinion from the Croatian National Bank on 20 December 2016.
