B2Holding ASA - Increase in share capital

Oslo, 11 July 2016: Reference is made to the announcement 
made by Arctic Securities AS on 11 July 2016 regarding the 
end of the stabilisation period in connection with B2Holding 
ASA's ("B2Holding" or the "Company", ticker B2H) initial 
public offering. As set out therein, Arctic Securities AS has 
exercised the option (the "Over-allotment Option") to require 
that B2Holding issues 3,024,693 new shares at the 
subscription price of NOK 12.

The Board of Directors of B2Holding has today resolved to 
increase the share capital of the Company with NOK 302,469.30 
by the issuance of 3,024,693 new shares, each having nominal 
value of NOK  0.10, at a subscription price of NOK 12 in 
accordance with the Over-allotment Option. The new shares 
will be issued to Arctic Securities AS in order for Arctic 
Securities AS to redeliver shares to Prioritet Group AB. 

Following the share capital increase, the share capital of 
the Company will be NOK 36,912,059.80, divided into 
369,120,598 shares, each having a nominal value of NOK 0.10.
